Edmonton, Alberta December 6th, 2005... ZCL Composites Inc. ("ZCL") announces that its Board of Directors has accepted the resignation of Nancy Smith, as director of ZCL effective December 5th, 2005. Ms. Smith had represented ARC Energy Venture Fund 3 ("ARC") which recently sold a portion of its interest in ZCL. The ARC Energy Venture Fund 3 continues to hold an interest in ZCL and we are pleased that Mr. Fred Dyment will continue to act as ARC's nominee on the ZCL Board of Directors. The Honourable James Edwards P.C., Chairman of the Board, thanked Ms. Smith for her contribution to the success of the company by serving on the Board for the past 14 months. ZCL is very pleased to announce the re-appointment of Mr. Roderick W. Graham to the Board of Directors effective December 5th, 2005. Mr. Rod Graham is Managing Director and a Founding Partner of Northern Plains Capital Corporation. Prior thereto, Mr. Graham held positions with Peters & Co., ARC Financial Corporation and RBC, focusing on investment management and merchant banking in the oilfield service sector.
